Issue and repurchase class C share

June 17, 2015
Orexo repurchased 135,000 class C shares. The shares are issued and repurchased in accordance with the long-term incentive program, LTIP 2015, which was adopted by the annual general meeting on 15 April 2015. Danske Bank subscribes for the entire issue of new class C shares at a subscription price of SEK 0.40 per share, equal to the quota value of the shares. The entire issue of class C shares will thereafter be repurchased by Orexo for SEK 0.40 per share. The purpose of the share issue is to enable the future delivery of ordinary shares to participants in LTIP 2015. The class C shares will be converted into ordinary shares prior to delivery to qualifying participants in LTIP 2015. The class C shares do not entitle to dividends.

September 22, 2016
Orexo announced repurchased 200,000 class C shares. The shares were issued and repurchased in accordance with the Long-Term Incentive Program (LTIP) 2016, which was adopted by the Annual General Meeting on April 15, 2016. Danske Bank subscribed for the entire issue of new class C shares at a subscription price of SEK 0.40 per share, equal to the quota value of the shares. The entire issue of class C shares was thereafter repurchased by Orexo for SEK 0.40 per share.

June 16, 2017
Orexo repurchased 230,000 class C shares. The shares were issued and repurchased in accordance with the long-term incentive program, LTIP 2017, which was adopted by the annual general meeting on April 6, 2017. Danske Bank subscribes for the entire issue of new class C shares at a subscription price of SEK 0.40 per share, equal to the quota value of the shares. The entire issue of class C shares will thereafter be repurchased by Orexo for SEK 0.40 per share.

In total there are 565 000 C shares issued.

June 15, 2018
Orexo AB repurchased 325,000 class C shares. The shares were issued and repurchased in accordance with the long-term incentive program, LTIP 2018, which was adopted by the annual general meeting on April 12, 2018. Danske Bank subscribes for the entire issue of new class C shares at a subscription price of SEK 0.40 per share, equal to the quota value of the shares. The entire issue of class C shares will thereafter be repurchased by Orexo for SEK 0.40 per share.

In total there are 890 000 C shares issued.

May 31, 2019
As a result of the conversion of 110,029 class C shares into ordinary shares due to vesting under the company’s long-term incentive program, LTIP 2016/2019, the number of C shares was changed and now amounts to 779,971. 

 

Orexo’s share is available as American Depository Receipts (ADRs) on the OTC market in order to facilitate trade in the US. The ADRs are listed as ORXOY. An ADR security are traded in American dollar (USD).
